Terms & Conditions
1. Acceptance of Terms
By applying for and participating in Founder's Circle ("the Program"), you ("the Member") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not participate in the Program.
2. Program Description
Founder's Circle is a facilitated community and learning experience for SME Founders, provided by Extra Brain Ltd ("the Provider"). The Program includes:
- Two remote facilitated sessions per month, each session will be between 60-90 minutes
- Access to a curated community channel (Discord).
- Weekly email digests.
- Monthly themed resources.
- Invites to two annual in-person events.
3. Membership and Payment
- Membership is by application and selection.
- The cost of membership is £275 per month, which comprises a subscription cost of £250 + 10% Extra Brain Fee*
- A minimum commitment of three months is required, to be paid before the Program commences. After the initial three months, membership will continue on a rolling monthly subscription.
- Payments are due monthly in advance and will be invoiced on the 1st of each month, automatically through Xero and GoCardless on a Direct Debit. No other payment methods are available.
- The provider reserves the right to alter pricing with 30 days' notice.
- Refunds: Refunds are not provided for partial months of service. The provider may provide refunds in extenuating circumstances at their discretion.
4. Community Guidelines and Code of Conduct
- Members agree to abide by the Founder's Circle Community Code, which emphasizes confidentiality, respect, diversity, and value.
- The Provider reserves the right to remove any Member who violates the Community Code.
- The Provider, and Program Director, has the final say on all moderation decisions.
5. Confidentiality
- Members agree to maintain the confidentiality of all information shared within the Program.
- No information shared within the Program may be disclosed to third parties without explicit consent.
6. Intellectual Property
- Members retain ownership of their own intellectual property.
- Any shared ideas or materials within the Program may not be used or reproduced without the express permission of the originator.
- The provider retains ownership of all Extra Brain Ltd created intellectual property.
7. Limitation of Liability
- The Provider shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from participation in the Program.
- The Provider provides the Program "as is" and makes no warranties, express or implied.
- The Provider is not responsible for the business outcomes of the members.
8. Termination
- The Provider may terminate a Member's participation in the Program for violation of these Terms or the Community Code.
- Members may terminate their membership after the initial three-month commitment by providing written notice.
- The Provider can terminate the Program at any time, providing members with as much notice as is possible.
- Upon termination, access to the community channel and all Program resources will be revoked.
9. Data Privacy
- The Provider will collect and process personal data in accordance with its Privacy Policy.
- Members consent to the collection and processing of their data for the purposes of providing the Program.
- The Provider will adhere to all GDPR rules.
10. Changes to Terms
- The Provider reserves the right to modify these Terms at any time.
- Members will be notified of any changes, and continued participation in the Program constitutes acceptance of the modified Terms.
11. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12. Force Majeure
- The Provider shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, civil disturbances, strikes, lockouts, or other labor disputes, epidemics, pandemics, or governmental actions.
13. Accessibility
- The Provider will endeavour to make the Program as accessible as is reasonably possible. If a member has specific accessibility requirements, they should inform The Provider, and Extra Brain will do their best to accommodate those needs.
